Tarceel

Terms of Service

Effective 14 September 2026

1.Introduction & acceptance

Tarceel ("the Service") is provided by Sowaan Limited, a company registered in England and Wales, whose registered office is at 2 Frederick Street, Kings Cross, London, WC1X 0ND, United Kingdom ("Sowaan," "we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of Tarceel's website, dashboard, and API. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2.How Tarceel connects to WhatsApp

Tarceel can connect your WhatsApp number in two ways.

In both cases WhatsApp's own terms govern your use of WhatsApp itself.

3.Your responsibilities

You are solely responsible for:

The Service must not be used to send unsolicited bulk messages, spam, or any communication to a recipient who has not consented to receive it. We may suspend or terminate any account we reasonably believe is being used this way.

4.Accounts

You need a valid email address to register (directly, or via Google sign-in). You're responsible for all activity under your account. Tell us immediately at info@sowaan.com if you suspect unauthorized use of your account or API keys.

5.Fees, billing & trials

New accounts get a free trial as described in the dashboard at signup (currently 14 days, one connected instance, a daily message allowance) — trial terms may change and the dashboard is the source of truth. Paid plans are billed through Stripe, our payment processor; we never receive or store your full card details. Two billing models are available: a fixed recurring subscription per connected instance, or a prepaid message-credit balance that's drawn down as you send and doesn't renew on its own. Fees are billed in advance (subscriptions) or at time of purchase (prepaid credits) and, except where the law requires otherwise, are non-refundable. We may change prices with reasonable notice; a change applies to future billing cycles, never to a period you've already paid for.

6.Acceptable use

In addition to Section 3, you agree not to: violate any law; infringe anyone else's rights; transmit malware or harmful code; attempt to gain unauthorized access to the Service or another user's account or instance; reverse-engineer the Service beyond what the law permits; or resell or sublicense the Service without our written consent.

7.API & rate limits

API access is subject to rate limits and other technical safeguards that protect the Service's reliability and the good standing of connected WhatsApp numbers. We may adjust these at any time, without notice, where reasonably necessary for security or stability.

8.Suspension & termination

We may suspend or terminate your access, with or without notice, if we reasonably believe you've violated these Terms or engaged in abusive or spam-like behavior, or if the law requires it. You can stop using the Service and delete your account from the dashboard at any time; this doesn't entitle you to a refund of fees already paid, except where the law requires it.

9.Intellectual property

The Service — its software, design, and documentation — belongs to Sowaan Limited and is protected by intellectual property law. You keep all rights to the content of the messages you send and receive through the Service.

10.Disclaimers

The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee uninterrupted or error-free WhatsApp connectivity, message delivery, or the standing of any connected number with WhatsApp — these depend in part on WhatsApp's own systems and policies, which we don't control.

11.Limitation of liability

To the fullest extent the law allows, Sowaan Limited's total liability arising from these Terms or the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim. We're not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost business — including, without limitation, any suspension or ban of a WhatsApp number connected through the Service. Nothing in these Terms limits liability where the law does not allow it to be limited (for example, death or personal injury caused by our negligence, or fraud).

12.Indemnification

You agree to indemnify and hold Sowaan Limited harmless from any claim arising from your use of the Service, your content, or your breach of these Terms or applicable law — including any claim arising from messages sent without proper consent.

13.Changes to these Terms

We may update these Terms from time to time. If we make a material change, we'll give reasonable notice (for example, by email or an in-dashboard notice) before it takes effect. Using the Service after a change takes effect means you accept it.

14.Governing law

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or the Service is subject to the exclusive jurisdiction of the courts of England and Wales.
